These Terms & Conditions govern your access to and use of the ChannelSwitch connectivity gateway operated by ChannelSwitch, 22 Wenlock Road, London N1 7GU, England, UK. By creating an account or connecting a system you agree to be bound by them.

1. The service

ChannelSwitch provides a travel technology connectivity gateway that enables hospitality and travel technology systems to exchange data through standardized integrations. ChannelSwitch is not a party to any commercial arrangement between the operators of connected systems and has no role in those arrangements; its role is limited to providing the technical connection.

2. Accounts and verification

Connected partners must provide accurate company information and complete verification before a connection is activated. You are responsible for all activity carried out under your credentials and API keys and must notify us immediately of any unauthorised use.

3. Relationships between connected parties

Any commercial arrangement — including rates, availability, allotments, cancellation rules and payment terms — is agreed directly between the parties operating the connected systems, outside ChannelSwitch. Each party is responsible for its own arrangements and for the accuracy of the data it sends through the gateway.

4. Acceptable use

The gateway and its API may not be used to scrape data at scale, to resell access to third parties without a written agreement, to connect systems you are not authorised to connect, or in any way that disrupts the service or breaches applicable law.

5. Fees

Applicable subscription, connection or transaction fees are set out in your connectivity agreement with ChannelSwitch. Fees are exclusive of VAT and any other applicable taxes.

6. Liability

To the maximum extent permitted by law, ChannelSwitch is not liable for indirect or consequential loss, or for loss arising from the acts or omissions of another connected party or of a third-party system we do not operate.

7. Termination

Either party may terminate an account in accordance with the connectivity agreement. We may suspend an account or connection immediately in the event of a serious breach of these terms.

8. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
